Crowdberry is looking for GENERAL COUNSEL / GROUP HEAD OF LEGAL to support managing 50+ million Eur in assets across the group structure that encompasses 40+ target companies, investment funds and investment SPVs across Slovakia and Czechia and three investment segments – startups, SMEs and real estate. 

The right candidate shall be responsible for providing legal and commercial expertise on strategic matters and day to day legal affairs within the Crowdberry group of companies and on investment transactions. He or she will act as a trusted advisor to the board of directors, lead the internal legal team and work with external legal advisors.

Role Objectives

  • Act as a sparring partner for the Board of Directors and investment team on legal matters related to Crowdberry’s business
  • Manage all internal legal affairs, internal staff and interface with external legal counsellors (incl. overlooking legal expenses, defining scope of outsourced legal services)
  • Counsel the management and other internal stakeholders on internal corporate governance matters
  • Assure proper implementation of the European Crowdservice Providers (ECSP) Regulation which came into effect in Nov 2021 and related Technical standards issued by ESMA 
  • Identify and mitigate legal risks associated with Crowdberry’s business
  • Develop company internal policies
  • Oversee, manage and resolve day to day legal matters
  • Act as an advisor to the investment team in relation to structuring and negotiating a wide range of transactional documents such as term sheets, shareholders’ agreements and investment agreements as well as performing legal due diligence in investment transactions
  • Analyse and craft legally effective and compliant transaction structures, working closely with our investment team and external counsellors (if engaged)

Our requirements

  • University law degree
  • 5+ years of M&A transactions experience
  • Experience handling investment and/or M&A transactions
  • Renowned law firm experience is a plus
  • Excellent attention to detail
  • Demonstrable strong communication and analytical skills along with a high level of commercial awareness
  • Strategic thinking
  • High integrity
