The JŠK law firm advised Czech engineering company TOSHULIN in its acquisition of a 100% share in TOS Kuřim-OS and ČKD Blansko-OS from ALTA.
TOS KUŘIM-OS is a long-time manufacturer of reliable, precise and durable machine tools. Together with ČKD BLANSKO–OS, it is a unique manufacturing company with a broad portfolio of machines and a strong technological background.
TOSHULIN is an engineering company that has long been operating in the machine tool market and has demonstrated its ability to adapt not only to changing market conditions, but also to increasing customer demands for quality, accuracy and reliability over the years. Thanks to advanced technology and high-quality distribution in its global sales network, OSHULIN has achieved success in industrially developed markets. Over the course of its existence, the company has delivered over 13,500 machine tools to 60 countries worldwide.
"This was a really tough deal," said Kateřina Kotková, the financial and economic director of TOSHULIN. "We faced major time pressure and very non-standard conditions. Fortunately, in selecting all of our advisory partners we drew a good hand, and thanks to them this project was realised successfully."
The JŠK team was led by partner Tomáš Doležil. The executive attorneys on the transactions were Patrik Müller and Martina Bacíková. Other members of the team included Michaela Krajíčková, Ivana Taškárová and Lenka Petráková. Michal Petr, of-counsel JŠK, provided competition law advice.
"Due to the target companies' difficult financial situation, this was an extraordinarily demanding and complex transaction requiring immense focus on the part of every member of the JŠK team," Doležil said. "I am very pleased that we succeeded in contributing to the successful implementation of the project."
TOSHULIN was advised in the transaction by the Corporate Finance Advisory team of UniCredit Bank Czech Republic and Slovakia, a.s.
