The JŠK law firm in cooperation with Slovak law firm Majerník & Miháliková and Austrian firm Graf Patsch Taucher, all members of the Central European PONTES network, provided legal advisory services to ARBES Technologies, a member of the Expandia Group, in connection with the cross-border acquisition of Slovak software company FINAMIS.
ARBES Technologies is a leading Czech B2B supplier of unique information systems for banking, leasing, capital markets and consumer finance. Founded in 1991, ARBES Technologies has extensive experience in the development, creation and support of software solutions and today its solutions are being used by leading banking and financial institutions in the Czech Republic and abroad.
FINAMIS is a company based in Bratislava dealing with the programming and development of financial software for banks, private banking, securities brokers, asset management companies, pension funds, insurance companies and leasing companies. Its clients are financial institutions from Slovakia, the Czech Republic and Austria.
"The merger of both companies is unique mainly because of the quality, size and experience of our expert team, which we have strategically strengthened in 2017," said Michal Houštecký, CEO and Chairman of the Board of Directors of ARBES Technologies. "Also, joint know-how and more than 25 years of experience in software solutions for the banking sector and financial and capital markets play a major role."
The JŠK team was led by Tomáš Doležil in cooperation with senior associate Michal Jendželovský and junior associate Michaela Krajíčková, supported by partner Andrej Majerník and senior attorney Ivan Kormaník from Majerník & Miháliková in Bratislava and partner Wolfgang Graf and lawyer Teresa Bernhard from Graf Patsch Taucher in Vienna.
"We felt strongly from the very beginning that this was a strategic investment for ARBES," said Tomáš Doležil. "Despite the relatively small size of the project its structure was rather complex and included several jurisdictions. I am glad that PONTES was able to offer the client a service that effectively eliminated the borders between these countries."
The financial advisor of the buyer was ECOVIS Corporate Finance CZ, under the supervision of Lubomír Dugovič.
