Legal Alert | Entry of members of the elected bodies in the Commercial Register - now without a criminal record extract

On 15 January 2023, an amendment to the Public Registers Act came into force, which removed the requirement to obtain an Extract from the Criminal Records for members of elected bodies (i.e. managing directors, members of the board of directors/supervisory board, etc.) who are not permanently residing in the Czech Republic.

From now on, it is sufficient if the person to be elected as a member of an elected body proves his/her eligibility to perform the function by means of an affidavit. This step will significantly speed up the whole process of the registration procedure. If false information is provided in the affidavit, there is a risk of criminal liability for the offence of concealing material facts in the documents used for entry in the Commercial Register, which can lead to imprisonment for up to 2 years or prohibition of business activity.
